Waarom het kan werken
Accelerated enterprise merchant migrations to Commerce Components and expanding international penetration of Shopify Payments, driving gross merchandise volume growth and expanding GAAP operating margins toward 21.0%,, which underpins our Potential value of USD 41.35.
We assign a Sell rating to Shopify Inc. with a Fair value of USD 30.70 per share, as the report-date price of USD 142.68 on September 25, 2026 reflects an extreme 365% premium over intrinsic cash flow value,.4
The house rating is Sell. For an ordinary investor, this means the stock is substantially overvalued relative to its fundamental cash-generating ability, indicating that investors should avoid initiating new positions and consider trimming or exiting existing holdings.
On the report date of September 25, 2026, Shopify was priced at USD 142.68. This report-date price stands 365% above our Fair value of USD 30.70 per share and 245% above our Potential value of USD 41.35 per share. At USD 142.68, the implied downside to Fair value is 78.5%.
The main risk to this defensive view is that consumer spending pullbacks or competitive fee pressure erode merchant transaction volume. Merchant Solutions accounts for 76.2% of annual revenue. If gross merchandise volume slows and revenue growth falls below 18% annually, transaction fees and operating profitability would compress, driving a swift valuation derating toward mature software peer multiples.2,3,7
The main reason the business can compound value is that migrating enterprise merchants adopt Shopify's unified commerce software and stay indefinitely. High retention and expanding payment processing penetration drive revenue growth while operating leverage reduces operating costs toward 33% to 34% of revenue, lifting operating margins from 12.7% toward 18.0% and supporting Potential value of USD 41.35.5,6
Enterprise Merchant Migration and High Platform Retention
Large enterprise brands increasingly migrate to Shopify's extensible architecture and remain on the platform indefinitely, securing long-term gross merchandise volume expansion.5
Monetization Depth Across Merchant Solutions
Merchant Solutions generated $8,804 million in FY2025 revenue, driven by growing adoption of Shopify Payments and commerce services across the merchant base.7
Following the logistics divestiture, operating expenses are guided to decline toward 33% to 34% of revenue, positioning operating margins to expand toward 18.0%.5,6
Huisaanbeveling
Rating is Sell because the report-date price of USD 142.68 on September 25, 2026 trades 78.5% above fundamental Fair value of USD 30.70, pricing in an unrealistic growth trajectory that leaves investors vulnerable to severe capital loss,.4
Bedrijfsoverzicht
Shopify Inc. offers pricing plans designed to meet the needs of its current and prospective merchants. While most merchants subscribe to its Basic and Grow plans, the majority of its gross merchandise volume ("GMV") has been generated from merchants subscribing to its Shopify Plus plan and enterprise offerings. Management's cybersecurity program operates under the leadership of its Chief Information Security Officer ("CISO").
The CISO leads its cybersecurity program, sets the direction for security across the Company and leads the Shopify Trust team, including oversight of incident identification, prevention, detection, response and recovery. Its CISO holds a Bachelors of Software Engineering and has over twenty years of security experience.
§2 BerenscenarioEN
In a severe combined macroeconomic downturn, discretionary consumer spending decelerates sharply, pushing Merchant Solutions revenue growth below 15% and compressing consolidated gross margins to 45% due to unfavorable payment interchange spreads. As top-line leverage evaporates, GAAP operating margins remain trapped near 12%, while market valuation multiples contract toward mature software peer averages of 18x to 20x P/E. Under this combined fundamental and multiple derating stress test, equity valuation falls toward the dedicated Bear scenario target of $10.47, highlighting the acute vulnerability of shares at current market prices of $142.68.
Merchant Solutions constitutes 76.2% of FY2025 revenue ($8,804M of $11,556M,), leaving top-line growth highly vulnerable to consumer discretionary slowdowns, corroborated by high raw beta of 2.6335. Growth falling below 18% impairs fair value by 27.2%.2,6,7

Shopify has established a Wide economic moat anchored in high merchant switching costs and powerful multi-sided ecosystem network effects. At the core of the platform is an integrated software architecture that serves as the mission-critical operating system for commerce. Merchants rely on Shopify for storefront hosting, multi-channel inventory synchronization, back-office analytics, and payment processing. Replacing this operational backbone involves substantial business disruption, data migration risk, and integration expense, resulting in durable merchant retention.
This platform lock-in is increasingly visible in the enterprise tier, where established global retail brands including Barnes & Noble, Suitsupply, Guess Jeans, and Avon have migrated to Shopify. Management notes that once enterprise retailers migrate to the platform, retention is indefinite. Furthermore, the introduction of distilled artificial intelligence capabilities like Sidekick accelerates merchant onboarding and deepens platform stickiness by driving an 8% increase in merchants reaching five orders within 15 days.
However, the moat is not without structural boundary conditions. While enterprise retention is exceptionally high, the platform remains exposed to normal cyclical mortality among early-stage SMB merchants during consumer downturns. Additionally, because Merchant Solutions generates 76.2% of consolidated revenues ($8,804M in FY2025), Shopify's economic profit remains tethered to transaction processing volumes and interchange fees, which do not benefit from the pure pricing power seen in traditional proprietary subscription software.
Economische winst
Shopify generates substantial economic profit, with returns on invested capital comfortably exceeding its 13.3917% cost of equity and 13.3829% WACC. Following the divestiture of its logistics fulfillment operations, the company operates an asset-light cloud software model where net capital expenditures of $26M in FY2025 compare to GAAP EBIT of $1,468M, generating high free cash flow conversion without capital intensity encumbrance.2,6

Sources of advantage
01High Merchant Switching Costs — Once merchants embed Shopify's core checkout, inventory primitives, APIs, and administrative workflows into their operations, migration friction to alternative platforms is economically prohibitive. Enterprise migrations such as Barnes & Noble, Suitsupply, Guess Jeans, and Avon exhibit indefinite retention.Wide
02Multi-Sided Ecosystem Network Effects — Shopify's open ecosystem of over 10,000 applications and developer partners creates a self-reinforcing flywheel where merchant scale attracts developers, which in turn deepens platform capability and attracts further merchants.Wide
03Scale Advantage in Merchant Solutions — Processing vast aggregate transaction volume ($8,804M in FY2025 Merchant Solutions revenue) provides scale efficiencies and bargaining with financial networks and payment rails that independent merchants cannot replicate.

The highlighted cell is Fair value when every assumption sits at its base level ($30.70). Each row and column shows what Fair value becomes when one assumption moves.
Free cash flow to the firm stays positive in the first projected year at $1.5B after modeled reinvestment of $130.1M, with terminal value at 46.4% of enterprise value. A sudden drop in free cash flow is not projected unless capital spending relative to revenue, reinvestment, or gross margin resets materially.
In the Base scenario, Shopify compounds durable revenue supported by high merchant retention and steady enterprise brand additions. Operating expense discipline allows GAAP operating margins to expand toward eighteen percent over the forecast horizon, delivering a valuation target of $30.70 representing a return of -78.5% with a probability of 60.0%. This trajectory would be disconfirmed if annual revenue growth slows below twenty percent or operating expense leverage stalls.

Maintain Sell; Maintain position discipline; use any operational liquidity on strength to complete position liquidation rather than chasing momentum.
Trigger: Quarterly revenue growth exceeding guided low thirties and gross profit growth accelerating above high twenties
Even in an operational beat where revenue growth and operating margins exceed expectations, the share price at $142.68 trades at an extreme premium to $30.70, leaving the risk-reward profile deeply unfavorable.
Conform
Maintain Sell; Continue orderly liquidation and reallocation of capital toward opportunities offering a verified margin of safety.
Trigger: Quarterly revenue growth in the low thirties and operating expense ratio between thirty-three and thirty-four percent of revenue
Meeting guidance targets confirms operational execution but does not close the vast disconnect between $142.68 and $30.70.
Gemist
Maintain Sell; Execute risk-control exits immediately; avoid averaging down as fundamental downside risks materialize.
Trigger: Quarterly revenue growth falling below thirty percent or operating expense ratio rising above thirty-five percent of revenue
Any growth deceleration or margin contraction threatens the aggressive assumptions priced into shares at $142.68, accelerating multiple compression toward $30.70.
Winstkwaliteit
Earnings quality is structurally sound following the divestiture of capital-intensive fulfillment operations, as operating cash flow closely tracks reported GAAP net income and capital expenditures remain minimal. However, substantial annual stock-based compensation creates ongoing equity dilution that partially offsets reported earnings power. Furthermore, consolidated gross margins remain bounded by the growth of Merchant Solutions, which carries third-party interchange costs that dilute transaction spreads relative to pure software subscription revenue.
Capital allocation discipline has improved dramatically post-logistics divestiture. Shopify maintains a pristine balance sheet with total debt of just $178M and abundant liquid reserves. Capital deployment is focused primarily on organic software R&D, artificial intelligence capabilities such as Sidekick, and merchant financing through Shopify Capital. Net reinvestment is modeled at an asset-light 8.0% of NOPAT, reflecting minimal physical infrastructure commitments.
Shopify's asset-light cloud platform generates expanding economic returns on capital following the elimination of capital-intensive fulfillment assets, as operating income grows on a nearly unencumbered balance sheet.
ROIC significantly exceeds the corporate WACC of 13.3829%, confirming sustained value creation.
Asset-Light Operating Model Delivers Superior Free Cash Flow Conversion
Shopify Inc. (SHOP) trades at 61.0x forward earnings against a peer median of 17.7x. Its EV/EBITDA of 76.0x compares with a peer median of 19.0x. The comparison uses 4 peers: Salesforce Inc., ServiceNow Inc., Uber Technologies Inc. and Automatic Data Processing Inc., as of 2026-09-25.

Shopify is assigned a high-conviction Sell rating due to an extreme valuation disconnect. At $142.68, shares trade at a 365% premium to house Fair value of $30.70 and 60.98x forward earnings, leaving zero margin of safety against potential consumer slowdowns.4
Risico
With a 78.5% valuation gap between market price and Fair value of $30.70, risk management centers entirely on avoiding downside capital loss. Reverse DCF modeling reveals current market pricing discounts an aggressive 43.70% 10-year growth CAGR, an unrealistic 27.39 percentage point premium over consensus. Any quarterly shortfall in revenue growth or margin leverage threatens steep multiple compression.

Re-evaluate fundamental risk-reward corridor
Share price entering the fair value band midpoint ($30.70) would warrant re-evaluating valuation drivers and growth durability.
Trading at USD 142.68 on September 25, 2026 against a fundamental Fair value of USD 30.70,, the stock offers zero margin of safety. Normalized owner earnings of $1,239.9 million cannot justify an enterprise value exceeding $184 billion.4,6

Avoid
Although consensus estimates project 31.9% top-line growth in FY2026, forward P/E of 60.98x leaves no room for execution missteps. Deceleration toward mature software growth rates would trigger substantial multiple compression.1,3,4
Institutional Quality Compounder Investor

We recommend a Sell rating on Shopify Inc. based on a fundamental Fair value of USD 30.70 per share, representing an implied downside of 78.5% from the report-date price of USD 142.68 on September 25, 2026,. While Shopify dominates commerce infrastructure and benefits from powerful merchant switching costs, market valuation has detached from underlying cash flow realities.4,5
Trading at 60.98x forward earnings and an equity beta of 2.63, the stock embeds severe downside risk if consumer discretionary volume softens or payment interchange costs rise, leaving investors vulnerable to significant multiple contraction.

Shopify trades at 60.98x forward P/E compared to CRM at 14.80x and ADP at 19.71x. Valuation multiple compression toward peer medians below 20x severely impairs equity value as growth moderates, driving a 20% negative valuation shock.3
The Bull scenario reflects accelerated enterprise retail migrations and expanding international payment take rates. Distilled artificial intelligence deployment and operational scaling push operating margins beyond twenty-one percent, yielding a valuation target of $41.35 representing -71.0% return at a probability of 20.0%. Disconfirmation would stem from elongation in enterprise enterprise software procurement cycles or payment take-rate compression.
Waarom het ertoe doet
Indicates whether fixed research and administrative costs are successfully scaling down to unlock operating profit expansion.
Merchant Solutions generated $8,804M or 76.2% of FY2025 revenue ($11,556M), while guided Q3 gross profit growth (mid-to-high 20s) lags low-30s revenue growth.
Gross margin expansion is constrained by third-party payment interchange costs, concentrating the burden of margin expansion on operating expense discipline.
